1. Services

FileMinder provides document automation tools that read, rename, organize, and extract structured data (including invoice data and EDI files) from documents you upload, email, or scan. We may update or improve the Services from time to time. Certain features may be subject to additional terms provided at the time of use.

2. Eligibility

You must be at least 18 years old and able to form legally binding contracts to use the Services. By using FileMinder, you represent and warrant that you meet these requirements.

3. Your Responsibilities

• Provide accurate and up-to-date information.
• Only upload, email, or transmit documents you have the right to use.
• Do not use the Services for unlawful, harmful, or fraudulent purposes.
• Maintain the confidentiality of your files and any login credentials (if applicable).

You are responsible for the content of all documents you submit.

4. Data Handling

• All data is processed and stored in the United States.
• We do not sell or rent your information.
• You retain ownership of all documents you submit; FileMinder processes them as directed by you.

5. Free Trial & Billing

We may offer a free trial (e.g., 50 free pages). After the trial, continued use requires payment per the pricing plan on our website. Unless required by law, all fees are non-refundable.

6. Intellectual Property

• The FileMinder name, logo, website, and technology are our intellectual property.
• You may not copy, modify, distribute, or create derivative works of the Services without our written permission.
• You retain ownership of your documents and any data extracted from them.

7. Service Availability

We strive to keep FileMinder available at all times but do not guarantee uninterrupted or error-free operation. We may suspend or limit access for maintenance, updates, or security reasons.

8. Limitation of Liability

To the maximum extent permitted by law, the Services are provided "as is" without warranties of any kind. We are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability for any claim related to the Services will not exceed the amount you paid to us in the twelve (12) months prior to the claim.

9. Termination

We may suspend or terminate your access if you violate these Terms. You may stop using FileMinder at any time. Certain provisions (e.g., ownership, limitation of liability) will survive termination.

10. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law rules. Any disputes will be resolved exclusively in the state or federal courts located in Nassau.

11. Changes to Terms

We may update these Terms occasionally. If we make material changes, we will notify you via email or by posting an update on our website. Continued use of the Services after changes means you accept the new Terms.
